**Job Description:**

**Basic Purpose-**

Provide legal support to internal clients as it relates to commercial transactions within US Foods, including drafting and negotiating agreements and achieving corporate compliance as it relates to relevant laws and corporate policies. The assignments and responsibilities require direct contact with internal and external clients, the ability to handle complex legal issues, the ability to work with significant independence and apply critical judgment, often under challenging timelines. The ability to develop and optimize contracting processes a continuous improvement approach is critical.

**Description-**

Contracts Administration:

Review, interpret, draft and negotiate complex contracts and other legal documents while applying a working knowledge of relevant legal subject matters including contract formation, Attorney-Client Privilege and Work Product Doctrine, Uniform Commercial Code, Federal Anti-Kickback Law and Regulatory Safe Harbors.

Review and draft responses to complex bids, request for information, request for proposals or other similar type documents.

Review, draft and negotiate form and non-form Non Disclosure Agreements, vendor agreements, customer agreements and other similar type agreements based on assessment of whether modifications are acceptable to Company.

Draft standard legal documents (i.e., letter of guarantees, credit related documents).

Develop and maintain contract templates, approved responses and standard procedures to routine contacts.

Utilize primary and secondary resources as well as Lexis for legal research.

Manage contracts in an electronic contract management database.

Track, identify and report trends in contracting performance within the organization and assist in the development of best practices and procedures.

Perform other duties as may be assigned from time to time.

**Qualifications-**

***Education/Training:***

Minimum Bachelor’s Degree; J.D. preferred (licensed to practice in Illinois).

***Related Experience:***

Minimum eight (8) years related transactional experience in commercial contracts; prior in-house experience strongly preferred.

Experience and knowledge with requests for proposal responses, supply/vendor, distribution and confidentiality agreements required.

Familiarity with transportation, intellectual property and government contracts a plus.

***Knowledge/Skills/Abilities:***

+ Must be detail oriented, self-motivated, good judgment skills and capable of working independently with minimal attorney oversight.
+ Strong legal analysis skills, including the ability to read, interpret and apply statutory and legal requirements to legal and business matters.
+ Ability to initiate, prioritize and manage multiple projects for multiple attorneys simultaneously.
+ Well versed in legal terminology, laws, judicial decisions, court jurisdictions and procedures.
+ Ability to develop cross-functional working relationships.
+ Ability to present statements of fact, law and basic legal strategy clearly, logically and concisely in a business-friendly manner.
+ Strong attention to detail and follow through.
+ Ability to proactively raise, recommend and resolve issues.
+ Ability to handle confidential information and develop trusting relationships, using a high degree of tact, discretion and diplomacy.
+ Microsoft Office expertise required especially Word, Excel, Outlook and PowerPoint.
+ Some familiarity and use of a legal department matter management system (i.e., TyMetrix or similar matter management system).
